User Agreement — A Public Offer for the Sale of Tickets for Cultural and Entertainment Events by Cultlab LTD
This User Agreement (hereinafter referred to as the "Agreement") is a public offer addressed to individuals (hereinafter referred to as the "Buyer" or " Buyers") interested in purchasing tickets for cultural and entertainment events (hereinafter referred to as the "Events") offered by Cultlab LTD.
The Agreement is considered concluded from the moment the Buyer places an Order to purchase tickets and until the moment the Buyer (or a person authorized by the Buyer) receives the tickets or cancels the Order.
This agreement represents a public offer. By accepting the terms herein, the Buyer, in accepting this offer, proceeds to make payment for the ordered tickets as per the conditions outlined in this Agreement. The act of payment by the Buyer signifies an acceptance of the offer, effectively establishing the Agreement under the terms specified in the offer. Prior to accepting this Offer, the Buyer should ensure a clear understanding and unconditional acceptance of all terms within this Agreement.
By purchasing a ticket to an Event, the Buyers agrees to be bound by the terms and conditions outlined in this Agreement.
1. DefinitionsBuyer - an individual or legal entity, the owner of tickets, the ultimate consumer of services under this Agreement.
Event - a cultural and entertainment event, attendance of which is possible only upon presentation of a Ticket.
Ticket - an electronic document produced by the Ticketing Platform software and hardware system. It grants the Buyer access to the Event and includes essential details about the Event itself, the Buyer's designated seat, and the price.
Order - one or more tickets selected by the Buyer for one-time payment.
Event Organizer (Cultlab LTD) - a legal entity or an individual entrepreneur vested with the responsibility to arrange and manage the Event. The Event offers services to the Buyer, such as details about the Event, seat selection, ticket reservations, processing orders and payments, delivering purchased tickets to the Buyer's designated email address, and potentially refunding funds for unused tickets (hereafter referred to as Services to the Buyer).
Services to the Buyer - services related to providing the Buyer Event details, seat selection, ticket reservation, processing orders and payments, and delivering tickets to the Buyer's designated email address. The Event Organizer covers expenses linked to Buyer Services and reserves the right to levy a Service Fee for providing these services.
Nominal ticket price - the cost established by the Event Organizer, indicated on the ticket, granting the holder the right to attend the Event.
Service Fee - the funds received from the Buyer in exchange for providing Services outlined in this Agreement, which include offering Event details, seat selection, ticket reservations, processing orders and payments, delivering purchased tickets to the Buyer's designated email address, and potentially refunding money for unused tickets.
Mobile electronic ticket (referred to as MET) - The MET contains a barcode and QR code containing ticket-related information. To visit some Events, presenting the MET on the screen of a mobile device to the controller is adequate for admission.
2. Subject of the Agreement2.1. The subject of the Agreement revolves around the Event Organizer covers expenses linked to Buyer Services and reserves the right to levy a Service Fee for providing these services. Offering Services to the Buyer, encompassing tasks such as providing Event details, seat selection, ticket reservations, processing orders and payments, delivering purchased tickets to the Buyer's designated email address, and potentially refunding money for unused tickets.
2.2. For the provision of Services to the Buyer, the Event Organizer may charge the Buyer a Service Fee.
2.3. The Buyer purchases tickets relying on Event information showcased on the Social Networks and Site (hereinafter the Site).
3. Order Processing and Payment Procedure3.1. The Buyer independently places an Order on the Site. Tickets that are part of the Order are removed from general sale and set aside specifically for the Buyer. While the countdown timer is active, payment authorization is exclusively accessible to the Buyer who initiated the Order. Orders that are processed and ongoing (with an active countdown timer) can be found in the "My Orders" section.
3.2. The total amount of the Order encompasses the price of each ticket included in the Order along with any applicable Service Fee.
3.3. By selecting the "Pay for Order(s)" button in the "Cart," payment for one or multiple Orders can be processed. In the event of payment failure or interruption, the Order can be paid for within its allotted timeframe from the "My Orders" section. Failure to complete the full payment within this timeframe will result in the Order status being changed to "Canceled," and the tickets will be made available for general sale again
3.4. Order payment with bank cards:
3.4.1. To complete the payment and enter your card details, you will be directed to the payment gateway of the Stripe.com payment system. The connection to this gateway and the transfer of information occurs securely through SSL encryption protocol. If your bank supports secure internet payments such as Verified By Visa or MasterCard SecureCode, you might be required to enter a special password for the payment process. This website ensures 256-bit encryption for security purposes. Stripe.com guarantees the confidentiality of provided personal information. Information entered will not be disclosed to third parties unless stipulated by the laws of the event country. Card payments adhere strictly to the regulations of international payment systems Visa Int. and MasterCard Europe Sprl.
3.4.2. Refusal to make a payment may be caused by the following reasons:
— The bank card not being authorized for online payments, which can be verified by contacting the issuing bank,
— The expiration date of the bank card has passed. Usually, the expiration date is displayed on the card's front side (indicating the month and year until which the card remains valid),
— Insufficient funds available on the bank card for payment,
— The daily transaction limit set by the bank has been exceeded. The daily limit for all transactions is determined by the card-issuing bank,
— Incorrect input of bank card details,
For correct input, it is necessary to carefully and accurately enter the data as they are indicated on your card:
— Cardholder's name (usually indicated on the front side of the bank card in uppercase English letters);
— Card number (usually indicated on the front side of the bank card and consists of 16 digits);
— Card expiration date (usually indicated on the front side of the bank card — month and year until which the card is valid);
4. Receiving Tickets4.1. Tickets purchased electronically (Electronic Tickets) are accessible in the "My Tickets" section on the Site. To receive the tickets, the Buyer is required to provide an email address. Depending on the Event Organizer's conditions, Electronic Tickets can be displayed at the Event's entrance either on a mobile device's screen (smartphone, tablet, etc.) or as a printed paper ticket. Occasionally, for access control purposes, Electronic Tickets might need to be exchanged for printed tickets.
4.2. By providing an email address the Buyer consents to receive tickets and event-related information. This includes updates about schedule restrictions, cancellations, rescheduling, as well as promotional materials concerning this event and other events organized by the Event Organizer. The Buyer expresses their intention to opt-out of receiving these materials by submitting a corresponding request (via email) to the following address:
info@cultlab.co.uk.
4.3. The process for Buyers at the entrance control of the Event aligns with the guidelines set by the Event Organizer. Access to the Event can be facilitated by forwarding Tickets via email for printing. Alternatively, if Mobile Electronic Tickets (MET) are accepted for entrance control, Buyers can acquire tickets through the Mobile Application and display them on a mobile device screen to the controller without printing. Events allowing MET usage are identified as "Mobile Electronic Ticket."
5. Ticket Refunds5.1. Only tickets purchased through the Event Organizer's online payment system are eligible for refunds, which are processed to the original payment method (bank card, account, e-wallet, etc.) used by the Buyer to complete the Order.
5.2. Ticket refunds are processed based on a request from the Buyer. A refund request, asking for a refund of the ticket(s) cost, should be sent to the email address info@cultlab.co.uk.
In accordance with this agreement, the following refund procedure is established:
5.2.1. In the event of the cancellation of the event, the Buyer receives a 100% refund of the nominal ticket cost.
5.2.2. In case of the Buyer's inability to attend the event due to illness or other documentarily confirmed legitimate reasons as stipulated by the legislation of the Event's Country, the Buyer will receive a 100% refund of the nominal ticket cost.
5.2.3. If the Buyer decides not to attend the event for any other reasons, the following refund terms will be applicable:
- If the refund request is made no later than 10 days before the event: in accordance with the legislation of the Country where the event is held.
- If the refund request is made less than 10 days but at least 5 days before the event: In compliance with the regulations of the country where the event is held.
- If the refund request is made less than 5 days but at least 3 days before the event: In accordance with the laws of the country where the event is held.
- If the refund request is made less than three days before the event: in accordance with the legislation of the Country where the event is held.
5.3. The Service Fee, once paid by the Buyer, cannot be refunded. Furthermore, any incurred actual expenses might be subtracted from the refund amount. The Service Fee is meant to cover the costs related to adequately offering services to the Buyer, as outlined in section 2 of this Agreement
5.4. In case of event cancellation, replacement, or rescheduling, the refund of funds may be conducted by the Event Organizer and/or as agreed with them.
6. Rights and Obligations, Responsibilities of the Parties6.1. The Event Organizer undertakes:
6.1.1. To refrain from divulging the Buyer's confidential information or granting access to third parties, unless stipulated by the laws of the Event's country.
6.1.2. The Event Organizer is not responsible for the content and accuracy of the information provided by the Buyer when placing and paying for the Order.
6.1.3. The Event Organizer is not responsible, cannot act as a defendant in court, and does not compensate for losses incurred by the Buyer due to the actions or inaction of third parties.
6.1.4. The Event Organizer is not responsible in the event of the Buyer's incorrect selection of the Event, ticket category, session time, and other ticket or Order characteristics.
6.2. The Buyer undertakes:
6.2.1. To familiarize themselves with the contents of the Agreement.
6.2.2. When placing and paying for an order, the Buyer is obligated to provide accurate information about themselves.
6.3. After the payment of the Order (acceptance of the offer), both the Event Organizer and the Buyer undertake responsibilities and gain entitlements as delineated in the Agreement.
6.4. The Parties are released from liability for full or partial non-performance of their obligations under the Agreement if such non-performance was a result of force majeure circumstances, i.e., extraordinary and unavoidable circumstances under these conditions. Force majeure circumstances include, in particular: natural disasters, military actions, strikes, actions and decisions of government authorities, failures occurring in telecommunications and energy networks.
7. Dispute Resolution7.1. Disputes emerging during the execution of this Agreement are settled following the claim procedure. Any claim, supported by pertinent documents, should be submitted in writing to the Event Organizer within 9 (nine) calendar days from the date of the dispute. The Event Organizer reviews the submitted claim within a maximum period of 15 (fifteen) calendar days.
7.2. For all other matters not provided for in the Agreement, the Event Organizer and the Buyer are guided by the legislation of the Country where the Event takes place.
8. Term, Amendment, and Termination of the Agreement8.1 This Agreement enters into force from the date of its publication on the Website. The Agreement is valid indefinitely.
8.2 The Event Organizer has the right to make amendments and additions to the Agreement, with their obligatory publication on the Website.
